The undersigned, individually and on behalf of any affiliated prospective buyer, acknowledges being first introduced to the business identified herein by Bob Zhong as designated agents of Luxmore Realty. The undersigned requests information relating to the following businesses:

In consideration of the information furnished and presented to me on this business and/or property listed above and any future businesses and/or properties opportunities that I (we) may be introduced to me by Luxmore Realty Agents, I (we) agree to hold such information in strict confidence and further agree that:


NON-DISCLOSURE OF INFORMATION: The undersigned acknowledges that Seller desires to maintain the confidentiality of the information disclosed. The undersigned agrees with the Broker not to disclose or permit access to any Confidential Information without the prior written consent of the Seller, to anyone other than Buyer’s partners/employees, legal counsel, accountants, lenders or other agents or advisors to whom disclosure or access is necessary for Buyer to evaluate the Business, and then only if these parties understand and agree to maintain the confidentiality of such confidential information. The undersigned shall be responsible for any breach of this Agreement by these parties, and neither Buyer nor these parties shall use or permit the use of Confidential Information in any manner whatsoever, except as may be required for Buyer to evaluate the Business or as may be required by legal process.

COMPETITION: Any information received shall not be used for any personal business gain or in competition with the business, by us, our partners or our employees, other than in connection with the transaction described above.

OTHER AGENTS: If the Signee is a Broker or Agent then they must be aware that the above business being offered for sale is private and confidential. The Signee is not allowed to market the business via public websites, social media…etc. The signee is only allowed to market this business privately through the Signee’s private client network and only after the Signee’s Buyer(s) sign an NDA/ Confidentiality Agreement. The Signee must sign a confidentiality agreement with the interested Buyer(s) prior to releasing the business name or business financials.

NO DEALINGS: There will be no attempt to deal directly with the owner of the business. If buyer / buyers company or any other shareholder of buyers company / buyers spouse or relative buys this property by bypassing Bob Zhong – Luxmore Realty, Buyers will have to pay 5% commission penalty of purchase price in total + applicable taxes to each agents brokerage i.e. Luxmore Realty. This buyers penalty is independent of any other financial gain or remuneration received from Seller.

NO CONTACT: It is hereby agreed that under no condition are the business employees, customers, competitor’s suppliers or any other to be contacted.

RETURN INFORMATION: Information may not be reproduced in any form without approval from the Seller or Bob Zhong as designated agents of Luxmore Realty. The original and any copies made or received must be returned back to Bob Zhong or Luxmore Realty.

The Buyer hereby understands if they violate any of the above, that they are liable to suit for damages caused by such action from either the owner of the business or Luxmore Realty Agents.
